*Software Assignment Agreement special aspects

1. The assignee acquires the developer’s intellectual property rights, titles and interests in and to the software product, but this is not applicable to the intellectual property rights to the old versions of the software or its prototype, estimates, architecture etc.

This needs to be explicitly stated in the agreement, otherwise only intellectual property rights to the version of the software mentioned in the agreement will be acquired.

2. Intellectual property rights to the software, databases and other creations or ancillary rights objects has not to be registered according to the Russian legislation. They are freely transferable by an agreement or upon an event, or by certificate.

3. According to the Russian legislation, the transfer of intellectual property rights has to be registered at the Russian Federal Agency for Intellectual Property if the software or databases were registered there previously.
